General Terms and Conditions

Version: 2 November 2026. This English version is provided for convenience only; the German version is legally binding.

§ 1 Scope

(1) These General Terms and Conditions apply to all contracts between Keno Records, owner Daniel Andersson, Allerstr. 32, 12049 Berlin, Germany, trading as "Keno Media" (hereinafter "Keno Media"), and its customers regarding the creation, operation and maintenance of websites and related services.

(2) Our services are offered exclusively to entrepreneurs within the meaning of § 14 of the German Civil Code (BGB), legal entities under public law and special funds under public law. No contracts are concluded with consumers.

(3) Deviating terms of the customer only apply if Keno Media expressly agrees to them in text form. Individual agreements in the quote take precedence over these terms.

§ 2 Free preview and conclusion of contract

(1) On request, Keno Media creates a preview of the website. The preview is free of charge and non-binding. If the customer declines, no costs arise.

(2) All rights to the preview, drafts and designs remain with Keno Media until a contract is concluded. Use without a contract is not permitted.

(3) The contract is concluded when the customer accepts a quote from Keno Media in text form (e.g. by email) or Keno Media confirms an order from the customer in text form.

§ 3 Website creation at a fixed price

(1) Scope of services and price are set out in the quote. Agreed fixed prices cover the services described in the quote; there is no billing by the hour.

(2) Requests beyond the quote are discussed with the customer in advance and only carried out after the customer agrees to a price stated beforehand.

(3) Unless otherwise agreed in the quote, 50% of the fixed price is due upon order and 50% upon going live.

(4) The website is deemed accepted when the customer approves it for publication or uses it for 14 days after delivery without reporting material defects.

§ 4 Switch offer

(1) If the customer switches from another provider (e.g. a website builder), Keno Media may create the website within the scope of the "Start" package free of charge (switch offer). This requires booking hosting & maintenance under § 5 at the same time, with a minimum term of 12 paid months.

(2) The obligation to pay for hosting & maintenance begins when the customer's previous contract ends, but no later than three months after going live. Until then, Keno Media provides hosting & maintenance free of charge. The minimum term begins with the first payment obligation.

(3) Ordinary termination before the end of the minimum term is excluded. If the contract ends early for reasons for which the customer is responsible, the fees remain due until the end of the minimum term; expenses saved by Keno Media are credited.

(4) Services beyond the "Start" package are offered separately under § 3.

§ 5 Hosting & maintenance

(1) Hosting & maintenance comprises operating the website on Keno Media servers, SSL certificate, domain management, email inboxes with the customer's domain, regular backups, updates and security measures, as well as minor changes of up to 15 minutes per month. Unused time expires at the end of the month.

(2) The fee is €29 per month plus statutory VAT for the "Start" and "Business" packages, unless otherwise agreed in the quote. For websites with a shop and for additional services, the price stated in the quote applies. Fees for special domain extensions may be charged separately and will be stated in advance.

(3) The fee is invoiced monthly in advance and is due within 14 days of invoicing.

(4) Outside a minimum term, either party may terminate the contract in text form with 14 days' notice to the end of the month.

(5) Keno Media ensures high availability of the website but cannot guarantee uninterrupted accessibility. Maintenance is carried out at low-traffic times where possible.

(6) The fee remains unchanged during a minimum term. Thereafter, Keno Media may adjust the fee with six weeks' notice in text form; in this case the customer may terminate as of the date the change takes effect.

§ 6 Additional services

Additional services such as the AI chatbot are provided at the prices stated on the website or in the quote and, unless otherwise agreed, can be cancelled monthly.

§ 7 Customer cooperation

(1) The customer provides texts, images and other content in good time. Delays caused by lack of cooperation are not the responsibility of Keno Media.

(2) The customer warrants that they hold the necessary rights to all content they supply and that it does not infringe third-party rights. The customer indemnifies Keno Media against third-party claims based on such an infringement.

(3) The customer is responsible for the legal accuracy of their content, in particular the imprint, privacy policy and information on prices and services. Keno Media provides technical templates but does not provide legal advice.

§ 8 Rights to the website

(1) Upon full payment, the customer receives the simple, unlimited right to use the designs and content created for them.

(2) Keno Media websites run on the kenoCMS content management system. kenoCMS remains the property of Keno Media. The customer receives a simple right of use for the duration of hosting & maintenance.

§ 9 End of contract and handover

(1) The customer's content belongs to the customer. At the end of the contract, the customer receives all texts and images of their website free of charge in a common format on request.

(2) Domains managed by Keno Media for the customer are transferred free of charge on request to a provider named by the customer.

(3) Handing over the website as a working copy to another provider is possible by separate agreement.

(4) After the end of the contract, website data and email inboxes are deleted after 30 days. The customer is responsible for backing up their emails in good time.

§ 10 Payment default

If the customer is more than 30 days in default of payment, Keno Media may block the website after prior notice in text form with a period of 14 days. The obligation to pay remains.

§ 11 Liability

(1) Keno Media is liable without limitation for intent and gross negligence, for injury to life, body or health, and under the Product Liability Act.

(2) In cases of slight negligence, Keno Media is only liable for breach of essential contractual obligations, limited to the typical, foreseeable damage. Otherwise, liability is excluded.

(3) Keno Media is liable for loss of data only to the extent that would have occurred with regular data backups.

§ 12 Data protection

Insofar as Keno Media processes personal data on behalf of the customer as part of hosting & maintenance, the parties conclude a data processing agreement pursuant to Art. 28 GDPR. Keno Media provides it on request.

§ 13 Final provisions

(1) The law of the Federal Republic of Germany applies, excluding the UN Convention on Contracts for the International Sale of Goods.

(2) If the customer is a merchant, a legal entity under public law or a special fund under public law, the place of jurisdiction is Berlin.

(3) Should any provision of these terms be invalid, the validity of the remaining provisions shall remain unaffected.
